Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the ProTeach Home Learning platform. These Terms constitute a legally binding agreement between you (“User,” “Parent,” or “Guardian”) and ProTeach Home Learning, a sole proprietorship owned and operated by Abanoub Rodolf Boctor, located in New York, NY (“ProTeach,” “we,” “us,” or “our”).
By creating an account, starting a free trial, or using any part of our service, you agree to be bound by these Terms. If you do not agree, you must not use our services.

1. Service Description
ProTeach Home Learning is an online homeschool tutoring service that provides weekly, personalized lesson planning and educational content for school-age children (PreK through 12th Grade). Our services include:
- Weekly Lesson Plans: Custom lesson plans for selected subjects (Math, Reading, Science, Writing, and/or History), created and uploaded each week by a dedicated Teacher Companion.
- Teacher Companion (Lexie) — Real Human Teacher: “Lexie,” your Teacher Companion, is a real, credentialed human teacher — not an AI chatbot or automated system. Lexie personally reviews, approves, and customizes all lesson plans before they are delivered to your child. While AI tools may assist in generating initial lesson frameworks, Lexie makes all final decisions about what your child learns and how it is presented. Lexie plans curriculum materials, interactive activities, quizzes, and printable PDFs tailored to your child's grade level and state learning standards.
- AI-Assisted Lesson Planning: ProTeach uses AI-assisted tools (server-side only) to assist Lexie in generating lesson plan frameworks. All AI-generated content is reviewed and approved by Lexie before it is made available in the Student Portal. No AI output reaches your child without human teacher review.
- Parent & Student Portal: A secure online portal through which parents manage accounts and subscriptions, and students access their weekly lessons and activities.
- Progress Tracking: A dashboard allowing parents to monitor lesson completion, quiz scores, and learning progress across subjects.
- Optional Planning Meetings: Depending on the plan selected, a weekly 15-minute planning meeting with your Teacher Companion may be included, scheduled via Calendly.
ProTeach reserves the right to modify, add, or discontinue features of the service at any time with reasonable notice to users.
2. Eligibility
To use our services, you must meet the following eligibility requirements:
- You must be at least 18 years of age and a parent or legal guardian of the child or children enrolled in the service.
- You must have the legal authority to enter into this agreement on behalf of yourself and your minor child(ren).
- Children enrolled in the service must be in grades PreK through 12th Grade (or equivalent age ranges: approximately 4–18 years old).
- You must provide accurate, complete, and current registration information. Providing false information is grounds for immediate account termination.
- Our services are available to residents of the United States. International access may be limited and is provided on an “as-is” basis without guarantees of compliance with local laws.
By creating an account, you represent and warrant that you meet all eligibility requirements stated above.
3. Accounts & Responsibilities
When you create a ProTeach account, you agree to the following:
- Account Security: You are responsible for maintaining the confidentiality of your login credentials. You must not share your parent account password with anyone other than your authorized family members.
- Account Accuracy: You agree to keep your account information (name, email, billing information, child profile) accurate and up to date. You may update your information at any time through the Parent Portal.
- One Account per Family: Each account is for a single family unit. Sibling plans support multiple students within the same account. You may not create multiple accounts to circumvent subscription limits.
- Notification of Unauthorized Access: You must notify us immediately at support@proteachhomelearning.com if you suspect unauthorized use of your account.
- Parental Supervision: You are responsible for supervising your child's use of the Student Portal and ensuring they use the platform in accordance with these Terms.
ProTeach is not liable for any loss or damage arising from your failure to maintain the security of your account credentials.
4. Subscription & Billing
A. Subscription Plans
ProTeach offers three weekly subscription plans:
- Base Plan — $70/week: 3 subjects, up to 1 student.
- Premium Plan — $100/week: All 5 subjects, up to 1 student, priority Teacher Companion access.
- Sibling Plan — from $100/week: Base plan for 2+ siblings ($50/kid flat rate for any number of kids), individual progress tracking.
B. Free Trial
- New subscribers receive a 14-day free trial. No charges are applied during the trial period.
- A valid payment method must be provided at the time of enrollment. If you do not cancel before the trial ends, your subscription will automatically begin and you will be charged the weekly rate for your selected plan.
C. Billing Cycle & Auto-Renewal
- Subscriptions are billed on a weekly basis, beginning the day after your free trial ends.
- Subscriptions automatically renew each week unless cancelled before the start of the next billing period.
- Payments are processed by Stripe. You authorize ProTeach to charge your payment method on file each week until you cancel.
- If a payment fails, we will attempt to retry the charge. If payment is not received within 3 days of the due date, your account may be suspended until payment is resolved.
D. Price Changes
ProTeach reserves the right to change subscription pricing. We will provide at least 30 days' written notice before any price change takes effect for existing subscribers. Continued use of the service after the effective date of a price change constitutes your acceptance of the new pricing.

5. Acceptable Use
You agree to use our services only for lawful, educational purposes and in accordance with these Terms. You agree that you will not:
- Share your account credentials or portal access with individuals outside your family unit, or allow unauthorized persons to access lesson content.
- Copy, distribute, resell, or sublicense any lesson plans, materials, games, quizzes, or any other content provided through the ProTeach platform.
- Use the platform or its content for commercial tutoring, resale, or any purpose other than the direct education of enrolled students.
- Attempt to reverse-engineer, scrape, or extract data or content from our platform by automated means.
- Upload, transmit, or share any content through the platform that is unlawful, harmful, offensive, or infringes on the rights of any third party.
- Interfere with or disrupt the integrity or performance of our platform, servers, or networks.
- Attempt to gain unauthorized access to any portion of our platform, other user accounts, or our backend systems.
- Provide false or misleading information about your identity, your child's grade level, or your eligibility.
Violation of these acceptable use rules may result in immediate suspension or termination of your account without refund.
6. Intellectual Property
All content provided through the ProTeach platform — including but not limited to lesson plans, curriculum frameworks, worksheets, printable PDFs, interactive games, quizzes, activity designs, progress tracking systems, the ProTeach name, logo, and website design — is the proprietary intellectual property of ProTeach Home Learning or its content creators, and is protected by United States copyright law and applicable intellectual property regulations.
- Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use lesson materials solely for the personal, non-commercial education of your enrolled child(ren).
- You may print or download materials for personal educational use by your enrolled child(ren) only. You may not redistribute, resell, publish, or make materials available to others outside your immediate household.
- Teacher Companions who create content for ProTeach do so under agreement that assigns content ownership to ProTeach. Teacher Companions retain no independent right to distribute ProTeach-commissioned materials outside the platform.
- Any feedback, suggestions, or ideas you submit to ProTeach may be used by us without compensation or attribution, and we retain all rights to any improvements made based on such feedback.
Unauthorized use, reproduction, or distribution of ProTeach intellectual property is a violation of these Terms and may result in legal action.
7. Disclaimer of Warranties

THE PROTEACH PLATFORM AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
ProTeach does not warrant that:
- The service will be uninterrupted, error-free, or available at all times.
- Lesson content will meet the specific educational requirements or expectations of every individual child or jurisdiction.
- The service will produce specific academic outcomes or guarantee improvement in any standardized measure of academic performance.
- Any errors or defects in the platform will be corrected within a specific timeframe, though we make commercially reasonable efforts to do so.
ProTeach is a supplemental educational service and is not a substitute for accredited schooling, licensed therapeutic services, or formal academic assessment.
8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROTEACH HOME LEARNING, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOST PROFITS, LOSS OF EDUCATIONAL OPPORTUNITY, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL PROTEACH'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE TOTAL AMOUNT YOU PAID TO PROTEACH IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
9. Termination
A. Termination by You
You may cancel your subscription at any time by emailing us at support@proteachhomelearning.com or through the cancellation option in your Parent Portal settings. See our Refund Policy for full details on refunds, credits, and cancellation procedures.
B. Termination by ProTeach
ProTeach reserves the right to suspend or permanently terminate your account, with or without notice, if we determine in our reasonable judgment that:
- You have violated any provision of these Terms, including acceptable use rules.
- You have engaged in fraudulent activity, including filing fraudulent chargebacks.
- Your use of the platform poses a risk to the security or integrity of our systems or other users' data.
- You have provided materially false registration information.
- Your account payment has failed and remains uncured for more than 7 days.
In cases of termination for cause, no refund will be issued for any remaining portion of a paid billing period.
C. Effect of Termination
Upon termination of your account for any reason, your right to access the platform and its content ceases immediately (or at the end of your paid billing period, in the case of voluntary cancellation). All provisions of these Terms that by their nature should survive termination shall survive, including intellectual property, disclaimer of warranties, limitation of liability, and governing law.
10. COPPA & Data Compliance
ProTeach Home Learning is fully compliant with the Children's Online Privacy Protection Act (COPPA), as amended in April 2025 (16 CFR Part 312), and all applicable federal and state regulations governing children's data.
Our Commitments:
- Parental Consent: We require verifiable parental consent before collecting any personal information from children under 13. Parents may review, modify, or delete their child's data at any time.
- Data Minimization: We collect only the minimum information necessary to provide our educational services — child's first name, grade level, and selected subjects.
- No Advertising: We never use children's data for advertising, marketing, or monetization purposes. We do not serve ads to children.
- No Third-Party Sharing: Children's personal information is never shared with third parties except our essential service providers (Firebase for authentication, Stripe for billing — which only processes parent data).
- Written Retention Policy: Per the 2025 COPPA amendments, we maintain a published data retention schedule (see our Privacy Policy, Section 11) specifying exactly how long each category of data is retained and when it is deleted.
- Content Filtering: All student messaging is subject to strict content moderation including profanity filtering, PII detection (phone numbers, emails, addresses), URL blocking, and message length limits. Students can only message their parent.
- State Compliance: We align with education privacy laws across all 50 states, including New York State Archives record retention requirements (LGS-1 Schedule) and state-specific homeschool record-keeping mandates.

11. AI-Powered Services
ProTeach uses artificial intelligence as a tool to support Lexie, our human Teacher Companion, in creating better lessons faster. By using our services, you acknowledge and agree to the following:
- Lexie Is a Real Human Teacher: Lexie, the Teacher Companion, is a real credentialed human educator. AI-assisted tools (server-side only) help Lexie generate lesson plan frameworks, but Lexie personally reviews and approves every lesson before it is delivered to the Student Portal. AI is a tool — Lexie is the teacher.
- Human Review of All AI Content: No AI-generated content is delivered to a student without first being reviewed and approved by Lexie. You acknowledge that AI is used as a productivity tool for lesson planning, not as a replacement for human judgment in educational decisions.
- No Guarantee of AI Accuracy: While AI-assisted lesson frameworks are reviewed by a human teacher, ProTeach does not guarantee the absolute accuracy of any educational content, whether AI-assisted or not. Parents are encouraged to engage with lesson materials and discuss them with their child.
- Data Processing: AI processing occurs server-side only. All prompts are stripped of personally identifiable information before processing. Our AI infrastructure does not use this data for model training per our data processing agreements.
- Content Moderation: AI-generated lesson frameworks are reviewed for age-appropriateness and educational relevance by Lexie before delivery. ProTeach reserves the right to modify, limit, or discontinue AI features at any time.

12. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of our services shall first be attempted to be resolved through good-faith negotiation. Please contact us at legal@proteachhomelearning.com to initiate this process.
If a dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration in New York County, New York, under the rules of the American Arbitration Association (AAA), except that either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
You and ProTeach agree that any claims shall be brought in your individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
